Agreement on Access to SZSE Easy IR Investor Education Service

1. Confirmation and acceptance of the terms of SZSE Easy IR service

The various network service of SZSE Easy IR are owned and operated by Shenzhen Stock Exchange (hereinafter, SZSE). SZSE provides network services pursuant to these service terms and the operating rules it releases from time to time. A user of the various services offered by SZSE (hereinafter, user) must accept all the contents of these service terms and comply with all the rules and highlights relating to such service. The aforesaid all the rules and highlights are an integral part of these service terms. To become a formal user of SZSE, a user must fully accept all the service terms and complete the relevant registration procedures.


2. Description of services

SZSE only provides relevant network services. Users must have all the required equipment (such as computers, modems or other necessary Internet devices) and pay the required costs (such as the Internet-related expenses including telephone fees, Internet fees and mobile phone fees.)Given the importance of the services offered by SZSE, a user must agree that

(1) it will provide detailed and accurate personal information.

(2) it will constantly update the registration information to ensure the timeliness, detailedness and accuracy of such information.


3. Change, interruption or termination of services

In view of the particularity of Internet service, SZSE is entitled to change, interrupt or terminate all or part of the Internet services at any time and without any liability to users or any third party.

To ensure the proper working of the website, SZSE will examine, repair and maintain the network service platform (such as the Internet website, mobile network, etc.) or relevant equipment on a regular or irregular basis, which will lead to interruption of network services. SZSE will endeavor to avoid interruption or minimize the interruption duration and shall not be liable for any service interruption that lasts for a reasonable period of time. SZSE is entitled to interrupt or terminate network services (including paid network services) to users at any time and without any liability to users or any third party if: 

(1) the user’s information is untrue; 

(2) the user breaches any provision of these service terms;

(3) the user fails to pay the required service fees to SZSE for its use of paid network services.


4. Online registration

A user shall provide accurate personal information to SZSE for use of the network services offered by SZSE. It shall update its registration information in a timely manner if there is any change in its personal information. Once successfully registered, a user will become a valid user of SZSE and will be provided with a password and username. Each user shall be fully responsible for all the activities and events conducted in its username. The user hereby agrees that it accepts the promotional or other information sent to users by SZSE through emails or other means. SZSE is entitled to analyze the entire user database, provided however that it will not disclose users’ privacy information to any third party.


5. Username, user password and security

A user shall be fully responsible for its username and the security of its password. A user can change its user password at any time according to instructions. A user is prohibited from transferring or lending its account or password to others. A user shall notify SZSE promptly if its account is accessed by any other user or a security vulnerability is identified. SZSE shall not be liable for any unauthorized access to a user’s account or password due to hacker attacks or as a result of the user’s negligence. If a user’s account registered for free network service is not used for any 180 consecutive days, SZSE is entitled to delete such account and stop providing network services to such user. 


6. User privacy system

Respecting and protecting users’ privacy is a basic policy of SZSE. Without authorization from valid users, SZSE will not disclose users’ registration information and users’ nonpublic information contained in SZSE Easy IR, except that:

(1) the disclosure is expressly authorized by the user in advance;

(2) the disclosure is required by relevant laws, regulations or relevant competent government departments;

(3) the disclosure is made for the purpose of maintaining public interests; or

(4) the disclosure is made for the purpose of protecting the legitimate interests of SZSE.


7. User management

A user must:

(1) comply with the laws and regulations of the PRC;

(2) comply with all the Internet protocols, regulations, procedures and practices relating to the use of network services;

(3) not use the network service system for any illegal purpose;

(4) not transmit any illegal information that is harassing, slanderous, abusive, threatening, vulgar, obscene, or incites other persons to commit crimes.

(5) not infringe upon the patents, copyrights, trademarks, reputation rights or any other legitimate rights and interests of any third party;

(6) not commit any act through SZSE network service system which may be disadvantageous to SZSE; 

(7) not interfere with or confuse network services; or 

(8) not to access other computer systems without obtaining prior permission.

A user is solely liable for its acts on the network. SZSE may, at its sole discretion, cancel a user’s service account if such user’s act fails to conform to the above service terms. If a user distributes and transmits reactionary, obscure or other illegal information on SZSE Easy IR, the records of SZSE Easy IR system may serve as evidence of the user’s illegal act. SZSE is not liable for cancellation of or failure in storing any information released by the user. SZSE is entitled to determine whether or not a user’s act conforms to the PRC laws and regulations as well as SZSE’s service terms. SZSE is entitled to suspend any service to a user if the latter breaches any provisions of the PRC laws and regulations or SZSE’s service terms.By uploading any content to the publicly accessible area of SZSE network through SZSE network technology service, a user grants SZSE a worldwide permanent, irrevocable,royalty-free, non-exclusive right and license (with the right to sublicense) to use, reproduce, modify, adapt, publish, translate, prepare derivative works of, transmit, perform 


8. Proprietary right to the contents of network services

The contents of network services defined by SZSE include: all the contents provided by SZSE in the form of text, software, sound, images, video, graphics and advertisements, all the contents of emails and other information provided by SZSE to its users. All such contents are protected under copyright laws, trademark laws and/or other property right laws. Therefore, a user may only use such contents with the authorization of SZSE and relevant right owners and shall not, without authorization, reproduce, distribute, reprint, play, adapt, compile such contents, use such contents otherwise or use such contents for any other commercial purpose.


9. Links

SZSE website contains links to other websites and web pages that are not operated or controlled by SZSE. SZSE is not liable for such websites and web pages. A user shall assume all the risk if it leaves SZSE website for other websites or web pages by clicking on such links or web pages. SZSE is not responsible or liable for such risk.


10. Disclaim

The user agrees that it will assume all the risk associated with its use of and all the consequences of its use of SZSE network services. SZSE offers no guarantee and assumes no responsibility for the user. SZSE does not guarantee that the network service necessarily meets the user’s requirement and that the network services will not be interrupted, nor makes any guarantee as to the timeliness, security or accuracy of the services. SZSE is not liable for any network service interruption or failure arising from force majeure events or due to any cause that is unavoidable or beyond the control of SZSE, but will make every effort to minimize the losses to and impact on the user caused by such interruption or failure.


11. Liability for damage

The user agrees that it will safeguard and maintain the interests of SZSE and other users and that it will be liable for any losses incurred by SZSE or any third party as a result of its breach of relevant laws, regulations or any provisions of these service terms. SZSE is not liable for any direct, indirect, incidental, special or consequential damages arising from the user’s use of network service. Such damages may come from: improper use of network services, purchasing goods online or performing similar services, trading online, unauthorized access to the network services, or changes in the information transmitted by the user.


12. Governing law

The formulation, enforcement and interpretation of these service terms are governed by the PRC laws and subject to the jurisdiction of the PRC courts. If any provision of these service terms conflicts with the PRC laws, such provision shall be revised according to law and the reminder of these service terms shall remain in full force and effect. Any dispute between the two parties hereto arising out of or in connection with these service terms or the enforcement thereof shall be resolved as far as possible through friendly consultations. Should such consultations fail, any party hereto may submit such dispute to the people’s court of the place where SZSE has its domicile.

Headings in these service terms are for convenience only and shall be omitted in the interpretation of these service terms.
